Modeling Agreement BETWEEN; Client Hereinafter referred to as "Client" -and- FAME Model and Talent, a corporation duly incorporated under the laws of Canada, hereinafter referred to as "FMT" WHEREAS the Client wishes to retain FMT, on a non-exclusive basis, as his or her agent and manager in respect of modeling, acting, and talent assignments, and FMT has agreed to be so retained, subject to the terms and conditions hereinafter set forth; NOW THEREFORE, for and in consideration of the mutual promises herein contained, the parties hereby agree as follows. 1. FMT is hereby retained by the Client, on a non-exclusive basis, as his or her agent and manager in respect of modeling, acting and talent assignments to be performed by the Client (the "Services"), and FMT agrees to be so retained, subject to the terms and conditions herein contained. 2. Client agrees to update his or her portfolio on FMT's site with current photographs, update his or her composite card, keep schedule current and up to date, and notify FMT of any changes in the Client's address or telephone number or contact information by way of updating Client's personal portfolio located on FMT's website. A two strike rule applies as any Client that is found to be negligent in updating their information will be terminated from FMT after their second offence. 3. Client agrees to attend all auditions in a timely manner. Client agrees to return telephone calls, emails, fax, letters, or any other correspondence from FMT, its affiliate agents, affiliates, and its representatives in a timely manner. A two strike rule applies as any Client that is found to be in breach of this clause will be terminated from FMT after their second offence. 4. For its services hereunder FMT shall be entitled to an agency fee (the "Agency Fee") equal to 15% of all monies received by or on behalf of the Client for work performed in respect of the modeling or acting or talent services booked by or through FMT including reuse and residuals. Client hereby grants to FMT a limited Power of Attorney to collect all fees and monies earned or accruing to Client from all sources governed by this agreement and to remit to Client the net fee after deducting the aforesaid 15% commission. This limited Power of Attorney includes the right of FMT to deposit the proceeds in a general account prior to remitting the balance to Client. Such remittance shall be on the 15th day of the proceeding month after the funds have cleared. Client agrees to instruct clients, producers, advertising agencies and/or union office, in writing, on the face of all job contracts or on the Model release Client signs at the time of production to send all fees and monies due to Client directly to FMT. This limited Power of Attorney also authorizes FMT to sign Model releases on behalf of FMT, and authorize reuse and residuals. FMT will work to recover all fees owed to Client for services rendered, however, FMT is only responsible for fees collected and not for covering outstanding balances 5. It is understood and agreed that Client is in business for himself or herself and is solely responsible for payment of any and all taxes, whether income, or otherwise. 6. The term of this agreement shall be indefinite; this agreement shall continue to be renewed from year-to-year on the anniversary date. Notwithstanding the preceding sentence, either party shall be entitled at any time, by not less than 15 day written notice to the other, to terminate this agreement. If termination notice is received after a booking or placement has been arranged, Client agrees to honor that booking and or placement or else reimburse FMT for any and all costs incurred or revenue forfeited (including such revenue which may be owing to a client due to incurred expenses as a result of FMT's cancellation). The termination of this agreement shall not relieve the Client of his or her obligation to pay any amounts owing to FMT on account of the Agency Fee which have accrued prior to the effective date of such termination. 7. Client is aware that FMT is entitled to receive a service charge from some or all of the clients who utilize FMT's services. Client and FMT agree that this service charge will not affect Client's reimbursement. 8. Client agrees to conduct himself or herself with propriety and dignity, to do nothing on an engagement or otherwise that may tend to injure the reputation and goodwill of Client or FMT, nor to do any act or thing which impairs Client's capacity to at all times fully comply with the terms of this agreement, or which impairs Client's physical or mental qualities and abilities. Client further agrees to abide by all standard rules and policies of FMT with regard to behavior on castings and engagements. FMT may, upon five (5) days notice to Client terminate this agreement for breach of this paragraph. 9. FMT is acting as an agent only and is not an employment agency. FMT is not liable for any direct, indirect, incidental, consequential, special, punitive, or similar damages, harm, or injury arising out of your access or use of our services. 10. The Client hereby authorizes FMT to use, to authorize others to use, and grants the right to use and license to others, the Client's name, likeness, portrait, picture and biographical material, and to advertise, publicize and reproduce same in all forms of media, in connection with the this agreement. 11. The Client expressly acknowledges that no representation or warranty has been made by FMT, its representatives or affiliate agents, either orally or in writing, as to any guarantee of future profitability, income or work as a result of entering into this agreement with FMT, being represented by FMT or otherwise. 12. This covenant sets forth the entire agreement between the parties. Should any provision(s) of this agreement be held to be void or not enforceable, such provisions shall be deemed omitted and this agreement with such provision omitted shall remain in full force and effect. No modification, alteration or amendment of any provisions contained herein shall be valid or binding unless in writing executed by both parties hereto. Both parties warrant that in entering into this agreement they have not been induced by, and are not relying on, any promises, representations or warranties not set forth in writing. 13. Client warrants that no other binding agreement is in force with any other party which would supersede this agreement. 14. This agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. This agreement may be executed in one or more counterparts which, together, shall constitute an original copy hereof as of the date first noted above.
